​General Terms of Use for AI Twin Usage (Audience)

1. Acceptance of Terms
By accessing or using the chat interaction feature ("AI Chat Service") of speak-to.ai ("Domain"), operated by Prifina ("Company", "we", "us", or "our"), you ("User" or "you") agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of the terms, you must not use this Chat Service.

2. Use of the Chat Service 

1. The AI Chat Service allows Users to interact with AI personas of AI twin owners ("AI Twin Owner") created and managed by the owners themselves.
2. You agree to use the AI Chat Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Chat Service.

3. Prohibited Conduct
You are expressly prohibited from:

1. Submitting content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
2. Impersonating any person or entity, including, but not limited to, a Company official, forum leader, guide, or host, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
3. Transmitting content that you do not have a right to transmit under any law or under contractual or fiduciary relationships.

4. Intellectual Property

1. AI Chat Service Property: The AI Chat Service and its original content (excluding User-generated content), features, and functionality are and will remain the exclusive property of the Company and its licensors.
2. No Transfer of IP Rights: Your use of the AI Chat Service does not grant you ownership of any intellectual property rights in our AI Chat Service or the content you access.
3. AI Twin Owner Content Ownership: Content provided by AI Twin owners, including speeches, presentations, and multimedia materials ("AI Twin Owner Content"), remains the intellectual property of the respective owner. The Company claims no ownership rights over AI Twin Owners Content. AI Twin Owners grant the Company a limited license to use, modify, publicly perform, publicly display, reproduce, and distribute AI Twin Owners Content solely for the purpose of providing and improving the AI Chat Service. This license is non-exclusive, revocable, worldwide, and royalty-free.

5. Disclaimers

1. The AI Chat Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Company does not guarantee that the Chat Service will function without interruption or errors.
2. The Company assumes no responsibility for the content, privacy policies, or practices of any third-party web sites or services linked to through the Chat Service.

6. Limitation of Liability
In no event shall the Company, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Chat Service.

7. Modifications to the Terms
The Company reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

8. Governing Law
These Terms shall be governed and construed in accordance with the laws of California, without regard to its conflict of law provisions.
